Chapter I: General Provisions
Article 1 The full name of this working group is the "Chinese Working Group of the World Stroke Organization" (hereinafter referred to as the "Working Group"). It is an official collaborative body established by the World Stroke Organization (WSO) in China, aiming to align China's stroke prevention and treatment efforts with international standards and improve the quality of stroke medical services and research.
Article 2 The Working Group is a non-independent legal entity and a non-profit collaborative platform. It operates under the guidance of the World Stroke Organization (WSO) and consists of voluntary participation from relevant domestic institutions in the field of stroke prevention and treatment (including medical institutions, research institutes, enterprises, etc.).
Article 3 The purposes of the Working Group are:
(1) To establish internationally recognized stroke prevention and treatment standards in China, aligned with WSO international standards;
(2) To promote international certification, quality control, and data sharing for stroke centers;
(3) To facilitate academic exchanges and technical cooperation in the field of stroke between China and other countries;
(4) To support the implementation of the national "Million Disability Reduction Project" and the Healthy China strategy.
The Working Group adheres to the guidance of Marxism-Leninism, Mao Zedong Thought, Deng Xiaoping Theory, the "Three Represents", the Scientific Outlook on Development, and Xi Jinping Thought on Socialism with Chinese Characteristics for a New Era. It fully leverages the political core and leading role of the Party organization, upholds the principle that science and technology are the primary productive forces, complies with the Constitution, laws, regulations, and national policies, practices the core socialist values, promotes patriotism, maintains social morality, and consciously strengthens integrity and self-discipline.
Article 4 The Working Group upholds the comprehensive leadership of the Communist Party of China and carries out Party activities in accordance with the provisions of the Party Constitution, providing necessary conditions for Party activities.
Article 5 The Working Group accepts the guidance and supervision of its governing institution, Beijing Shijitan Hospital, Capital Medical University.
Article 6 The domicile of the Working Group is in Beijing.
Chapter II: Scope of Work
Article 7 The scope of work of the Working Group includes:
(1) Theoretical Research: Developing tiered certification standards for stroke centers in China under the WSO framework;
(2) Professional Training: Organizing internationally certified training programs, conducting academic exchanges, training, promotion, and awareness campaigns to foster interdisciplinary collaboration in stroke care;
(3) Academic Exchanges: Conducting scientific research and technological innovation in stroke care to improve prevention, diagnosis, treatment, and rehabilitation;
(4) Global Perspective: Establishing connections and exchanges with international stroke care teams and professionals to promote international academic collaboration;
(5) Publications: Compiling and publishing academic journals, books, and guidelines to advance the academic development of stroke care;
(6) Policy and Standard Development: Upon delegationauthorization by relevant government departments, organizing members and professionals to participate in the development of standards, policies, and regulations, as well as in the formulation and decision-making of relevant national policies;
(7) Consulting Services: Strengthening health education, psychological support, and social care for stroke patients and their families;
(8) Undertaking tasks assigned by government departments.
Activities requiring approval under laws, regulations,rules shall be carried out only after obtaining such approval.
Chapter III: Organizational Structure
Article 8 Leadership Structure
(1) Chairperson: Nominated by the WSO, responsible for overall coordination;
(2) Vice-Chairpersons: Comprising academicians in the field of stroke and presidents of top-tier hospitals, responsible for specific operational tasks;
(3) Expert Panel: Composed of authoritative experts from neurology, emergency medicine, imaging, rehabilitation, and other relevant disciplines.
Article 9 Secretariat
Responsibilities: Responsible for daily coordination, project execution, and external liaison;
Composition: Includes one Secretary-General, two Deputy Secretaries-General, and several full-time staff.
Article 10 Specialized Working Groups
Specialized groups (e.g., certification, training, research, public welfare) may be established as needed, with leaders appointed by the Chairperson.
Chapter IV: Formation and Dismissal of the
Working Group and Its Leaders
Article 11 The highest authority of the Working Group is the Expert Congress, whose functions and powers include:
(1) Formulating and amending the Constitution;
(2) Electing and dismissing the Chairperson and Vice-Chairpersons;
(3) Reviewing work and financial reports of the Council;
(4) Reviewing work reports of the Supervisory Board;
(5) Determining the working principles and tasks of the Working Group;
(6) Deciding on termination matters;
(7) Deciding on other major issues.
Article 12 The Expert Congress requires a quorum of at least two-thirds of expert representatives to convene, and its resolutions must be approved by a majority of attending representatives to take effect.
Article 13 The term of the Expert Congress is five years. Earlydelayed requires approval by the Council, but the delay shall not exceed one year.
Article 14 The Council is the executive body of the Expert Congress, leading the daily operations of the Working Group during recess and reporting to the Expert Congress. Its term is five years.
Article 15 The functions and powers of the Council include:
(1) Implementing resolutions of the Expert Congress;
(2) Electing and dismissing the Chairperson, Vice-Chairpersons, and Executive Council members; appointingdismissing the Secretary-General;
(3) Preparing for the Expert Congress;
(4) Reporting work and financial status to the Expert Congress;
(5) Deciding on the admissionremoval of experts;
(6) Establishing, modifying,terminating subordinate bodies;
(7) Appointing Deputy Secretaries-General and heads of subordinate bodies;
(8) Leading the operations of subordinate bodies;
(9) Formulating internal management systems;
(10) Raising funds for the Working Group;
(11) Deciding on other major matters.
Article 16 The Council requires a quorum of at least two-thirds of its members to convene, and its resolutions must be approved by a two-thirds majority of attending members to take effect.
Article 17 The Council shall meet at least once annually; meetings may also be held via correspondence if necessary.
Article 18 The Working Group shall establish an Executive Council, elected by the Council, with no more than one-third of the Council members. Its term is five years, and it reports to the Council during recess.
Article 19 The Executive Council requires a quorum of at least two-thirds of its members to convene, and its resolutions must be approved by a two-thirds majority of attending members to take effect.
Article 20 The Executive Council shall meet at least semi-annually; meetings may also be held via correspondence if necessary.
Article 21 The Chairperson, Vice-Chairpersons, and Secretary-General of the Working Group must meet the following qualifications:
(1) Uphold the Party's line, principles, and policies, with strong political integrity;
(2) Have significant influence in the Working Group's field;
(3) Be under 70 years of age at the time of appointment (the Secretary-General must be a full-time position);
(4) Be in good health and capable of performing duties;
(5) Have not been subjected to criminal penalties depriving political rights;
(6) Have full civil capacity.
Article 22 If the Chairperson, Vice-Chairpersons,Secretary-General exceed the maximum age limit, they may continue to serve only with approval by the Council.
Article 23 The term of the Chairperson, Vice-Chairpersons, and Secretary-General is five years, with a maximum of two consecutive terms. Extension of the term requires approval by a two-thirds majority of the Expert Congress and relevant authorities.
The Secretary-General, if appointedpublicly recruited, is not subject to term limitsdemocratic election procedures.
Article 24 The Chairperson exercises the following functions and powers:
(1) Convening and presiding over the Council (or Executive Council);
(2) Overseeing the implementation of resolutions by the Expert Congress and Council (or Executive Council);
(3) Nominating the Secretary-General, Deputy Secretaries-General, and heads of subordinate bodies for approval by the CouncilExecutive Council.
Article 25 The Secretary-General exercises the following functions and powers:
(1) Managing daily operations and implementing annual work plans;
(2) Coordinating the work of subordinate bodies;
(3) Nominating Deputy Secretaries-General and heads of subordinate bodies for approval by the CouncilExecutive Council;
(4) Proposing employment plans for full-time staff of subordinate bodies for approval by the CouncilExecutive Council;
(5) Handling other daily affairs.
Article 26 The Working Group shall establish a Supervisory Board, with members serving the same term as the Council and eligible for reappointment. The Supervisory Board, elected by the Expert Congress, oversees the Working Group and reports to the Expert Congress. It consists of 3–9 members under 70 years of age, with one Chairperson elected by the Board. The Chairperson and Vice-Chairpersons may serve no more than two consecutive terms, with no more than two-thirds of members retained during换届.
The Chairperson, Vice-Chairpersons, Secretary-General, Council members, Executive Council members, heads of subordinate bodies, and full-time staff of the Working Group may not serve as Supervisory Board members.
Article 27 The Supervisory Board exercises the following functions and powers:
(1) Electing the Chairperson and Vice-Chairpersons of the Board;
(2) Attending the Expert Congress and reporting on its work;
(3) Attending Council and Executive Council meetings as non-voting participants;
(4) Supervising the performance of the Council and Executive Council;
(5) Overseeing the financial management of the Working Group;
(6) Fulfilling other duties assigned by the Expert Congress.
The Supervisory Board shall meet at least every six months, with resolutions requiring approval by a majority of attending members.
Article 28 Supervisory Board members shall comply with laws, regulations, and this Constitution, performing their duties faithfully and diligently.
Article 29 The Supervisory Board may investigate the Working Group's activities and engage external auditors if necessary. Expenses for such activities shall be borne by the Working Group.
Chapter V: Asset Management and Usage Principles
Article 30 The Working Group's funding sources include:
(1) Special allocations from the WSO;
(2) Corporate donations (restricted to public welfare projects);
(3) Government grants;
(4) Income from activities and services within the approved scope;
(5) Other lawful income.
Article 31 Funds shall be used strictly for the purposes and development of the Working Group as stipulated in this Constitution and shall not be distributed among members.
Article 32 The Working Group shall establish strict financial management systems to ensure legal, truthful, accurate, and complete accounting records.
Article 33 The Working Group shall employ qualified accountants, who may not concurrently serve as cashiers. Accountants shall conduct accounting and oversight, and must complete handover procedures upon departure.
Article 34 Asset management shall comply with national financial regulations and be subject to supervision by the Expert Congress and financial authorities. Assets from state fundingpublic donations shall be audited and disclosed appropriately.
Article 35 Financial audits are mandatory before换届 or changes in legal representative.
Article 36 No entityindividual may misappropriate, privately divide,embezzle the Working Group's assets.
Article 37 Salaries and benefits for full-time staff shall comply with national regulations for public institutions.
Chapter VI: Amendment Procedures
Article 38 Amendments to this Constitution require approval by the Council and subsequent review by the Expert Congress.
Article 39 Amendments take effect after approval by the Expert Congress, review by the governing institution, and registration with authorities within 15 days.
Chapter VII: Termination Procedures and Post-Termination Asset Handling
Article 40 Termination may be proposed by the CouncilExecutive Congress upon completion of purposes, voluntary dissolution,merger/division.
Article 41 Termination requires approval by the Expert Congress and governing institution.
Article 42 A liquidation committee shall handle assets and liabilities under guidance, with no non-liquidation activities permitted.
Article 43 Termination is finalized upon deregistration.
Article 44 Remaining assets shall be used for purposes aligned with the Working Group's under supervision.
Chapter VIII: Supplementary Provisions
Article 45 This Constitution was adopted at the First Session of the First Expert Congress of the Chinese Stroke Organization on November 22, 2024.
Article 46 The Council holds the right to interpret this Constitution.
Article 47 This Constitution takes effect upon registration with authorities.
